These Terms of Service (“Terms”) govern your access to and use of QuietSignal (the “Service”), operated by QuietSignal, LLC, a Louisiana limited liability company (“QuietSignal,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility & Account
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for keeping your account credentials secure and for all activity under your account. You agree to provide accurate information when you sign up and to keep it current.
2. The Service
QuietSignal is a mobile-first software-as-a-service application for creating and publishing short-form video content. The Service may include AI-generated scripts, an in-app teleprompter, AI voice generation, automatic captions, an in-app video editor, scheduling, and one-tap publishing to third-party platforms (e.g. Instagram, Facebook, TikTok, YouTube). Specific features depend on your subscription tier.
3. Subscriptions, Trials & Billing
- QuietSignal offers tiered monthly subscriptions: Lower ($149/month), Middle ($249/month), and Premium ($489/month). New accounts include a 10-day free trial.
- Subscription fees are billed in advance through Stripe and renew automatically each month until you cancel. You may cancel at any time through the in-app billing screen or the Stripe Customer Portal; cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by law. We may change pricing on a go-forward basis with at least 30 days' notice.
- You authorize us to charge your payment method for all fees, taxes, and applicable third-party charges (e.g. platform publishing fees, if any).
4. User Content
“User Content” means anything you create, upload, or generate through the Service, including filmed clips, AI-generated scripts, captions, voiceovers, edits, and scheduled posts.
- You own your User Content. We do not claim ownership of your scripts, videos, or published posts.
- You grant QuietSignal a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, improve, and support the Service (including delivery to the third-party platforms you authorize).
- You represent that you have all rights necessary to upload your User Content and that it does not infringe on any third party's rights or violate any applicable law.
5. AI-Generated Content
Portions of the Service generate text, audio, or video using machine-learning models (including Anthropic Claude, ElevenLabs, Google Cloud Speech-to-Text, and others). AI output is provided as-is and may contain errors, omissions, or content you find inaccurate or objectionable. You are responsible for reviewing all AI-generated material before publishing it.
6. Third-Party Platforms
If you connect an Instagram, Facebook, TikTok, or YouTube account, you authorize QuietSignal to publish content on your behalf and to access metadata returned by those platforms. Each platform's own terms of service apply to your account on that platform; we are not responsible for changes those platforms make to their APIs, policies, or enforcement.
7. Acceptable Use
You agree not to use the Service to:
- Violate any law or third-party right;
- Distribute spam, scam, hateful, harassing, or sexually exploitative content;
- Impersonate another person or misrepresent your affiliation;
- Interfere with the Service's operation, attempt to circumvent rate limits, or reverse-engineer non-public APIs;
- Upload malicious code or content that infringes intellectual property rights.
We may suspend or terminate accounts that violate these rules, with or without notice depending on the severity.
8. Affiliate Program
QuietSignal offers an affiliate program with variable commission rates. Affiliate terms are governed by a separate Affiliate Agreement that you accept when enrolling. Commissions are paid in arrears via Stripe Connect.
9. Termination
You may cancel your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or operational reasons. Upon termination, your right to use the Service ends; your User Content remains accessible for export for at least 30 days after termination unless we are legally required to delete it sooner.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will meet your expectations.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, QUIETSIGNAL, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless QuietSignal, LLC and its members, employees, and contractors from any claim or demand arising from your User Content, your use of the Service, or your violation of these Terms.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email and/or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Louisiana, USA, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in East Baton Rouge Parish, Louisiana.
